Articles of Association of the Special Committee on Banner Supplies
Chapter 1 General Provisions
The first is supported by the Silk Road Planning and Research Center (head of the General Office of the National Committee of the Chinese People's Political Consultative Conference) and was founded by the Beijing Xinfeng Banner Culture Communication Center. On March 23, 2019, the China Banner Research Center (VRCC) was established in Beijing. On July 17, 2019, Chairman Zhao Xinfeng successfully bid to host the 30th World Congress of Phnom Penh (ICV) in Beijing in 2023 at the Council of the 26th International Federation of World Associations for Hormology (FIAV) held in San Antonio, USA. The China Research Center of Philosophy (VRCC) has become the 74th registered member of the International Federation of World Banner Associations (FIAV).
The name of the association: the Special Committee on Banner Products of the China Vexillological Research Center, the English translation of "China Banner Research Center" is used in international exchanges: Vexillological Research Center of China, abbreviated VRCC.
Article 2 The Association is an international, academic, alliance, and non-operational organization voluntarily formed by banner supplies manufacturers who are enthusiastic about researching and promoting banner culture.
Article 3 The purpose of this association: To study and promote the culture of banner science, to help the great development of Chinese banner culture, to tell the story of Chinese banners internationally, to improve the manufacturing level and overall quality of China's banner supplies industry, and to enhance the international influence of China's banner supplies. Competitiveness, expand the profitability of China's entire industry of banner supplies, and attract more outstanding talents for employment.
Article 4 The Association accepts the business guidance and supervision and management of the China Philosophy Research Center.
Article 5 The founding site of this association is located at: Zhuji Huadu Desheng Printing Co., Ltd.
Chapter II Strategic Mission
Article 6 Development Strategy and Mission of the Special Committee
(1) Study and formulate detailed rules and regulations for the use of Chinese flag supplies, and publicize and promote them to the whole society.
(2) Propose an effective solution and implementation plan for the recycling of scrapped flags, and undertake the recycling business of scrapped flags nationwide.
(3) Research and develop new fabrics, new processes and new technologies, continuously improve the quality of Chinese flag supplies, and enhance the international competitiveness and influence of Chinese flag supplies.
(4) Organize relevant forums, seminars, exhibitions, flag-raising competitions, training and other activities around the purpose.
(5) Actively participate in the conferences and related activities of the International Alliance of World Banners Associations, and recommend Chinese banner supplies and members of special committees to the World Banners organizations.
(6) Actively establish the Asian Philosophy Forum and related organizations.
(7) Recommend high-quality flag supplies and special committee members to the organizing committees of major international and domestic political, military, sports, cultural and celebration activities.
Chapter III Organization Members
Article 7 The members of the special committee are the members of the unit group.
Article 8 Any unit in the flag supplies industry that is committed to researching and promoting flag culture and agreeing to recognize the constitution of the special committee can become a member of the special committee after submitting a written application to the special committee.
Article 9 Procedures for joining the special committee
(1) Submit an application for membership;
(2) It has been discussed and approved by the Standing Council of the Special Committee and submitted to the China Philosophy Research Center;
(3) Approved by the China Philosophy Research Center, signed by the chairman of the center, and issued a membership certificate.
Article 10 Members of the organization enjoy the following rights
(1) enjoy the right to vote, be elected and vote in the special committee;
(2) To send representatives to participate in various activities of the special committee and China Philosophy Research Center;
(3) To undertake and co-organize national flag education, flag raising competitions, exhibitions and other related activities;
(4) The right to criticize, suggest and supervise the work of the special committee;
(5) Membership is voluntary and withdrawal is free.
Article 11 Members of the organization perform the following obligations
(1) Comply with the bylaws of the special committee, implement the resolutions of the special committee, safeguard the rights and interests of the special committee, and abide by the regulations and management rules of the special committee;
(2) Actively participate in the activities of the special committee and undertake the work assigned by the special committee;
(3) Pay membership dues as required;
(4) Report the situation to the special committee and provide relevant materials.
Article 12 If a member withdraws from the membership, he must report to the Association in writing and perform the withdrawal procedures. If a member commits serious violations of laws and disciplines or violates the Articles of Association, the special committee will cancel its membership in accordance with procedures.
Chapter IV Organization and Person-in-charge Selection and Removal
Article 13 The highest authority of the special committee is the council of directors. The powers of the council of directors are:
(1) to formulate and amend the articles of association;
(2) Election and removal of directors;
(3) To review the work report and financial report of the Standing Council;
(4) To formulate and revise the standard of membership fees;
(5) to decide on termination matters;
(6) Other major related matters.
Article 14 The general meeting of directors must be convened only when more than 2/3 of the directors' representatives are present, and its resolutions cannot take effect until more than half of the directors' representatives present at the meeting.
Article 15 The council of directors is held every two years. If it is necessary to change the term in advance or postpone due to special circumstances, it must be approved by the Standing Council and reported to the China Philosophy Research Center for approval.
Article 16 The Executive Council is the executive body of the Council of Directors. It leads the Association to carry out daily work during the period when the Council of Directors is not in session, and is responsible to the Council of Directors.
Article 17 The functions and powers of the Standing Council are:
(1) To execute the resolutions of the congress of directors;
(2) Election and dismissal of the executive chairman, vice chairman, secretary-general and deputy secretary-general;
(3) to prepare for the convening of the Council of Representatives;
(4) Report work and financial status to the council of directors;
(5) Decide on the admission or removal of directors;
(6) Decide on the appointment of the principal persons in charge of each institution;
(7) Leading the special committee to carry out the work;
(8) Formulating internal management systems, etc.;
(9) Study and decide on major work matters of the special committee.
Article 18 The executive council is composed of the executive chairman, vice chairman and deputy secretary-general, and the number of members does not exceed 40% of the number of directors. The Standing Council shall hold a meeting at least once a year; in special circumstances, it may also be held by video.
Article 19 The standing council must be convened only when more than 2/3 of the standing directors are present, and its resolutions can only take effect after more than 2/3 of the standing directors present.
Article 20 The chairman, vice-chairman, secretary-general and deputy secretary-general of the special committee must meet the following conditions:
(1) The chairman of the special committee is concurrently served by the chairman of the China Philosophy Research Center;
(2) Enthusiastically research and promote banner culture, make corresponding contributions and achievements in the field of banner supplies, have a certain scale and output value, and have a good sense of social responsibility and brand image;
(3) In principle, the maximum working age shall not exceed 70 years old. Authoritative persons who are in good health and can work normally may relax their working age at their discretion;
(4) Those who have not received criminal punishment for deprivation of political rights;
(5) Has full capacity for civil conduct.
Article 21 The term of office of the executive chairman, vice-chairman, secretary-general and deputy secretary-general of the special committee is two years, and they can be re-elected, with a maximum term of no more than five terms.
Article 22 The chairman of the special committee shall exercise the following powers:
(1) Attend the executive council and exercise veto power over relevant resolutions;
(2) Check the implementation of the resolutions of the council of directors and the standing council;
(3) Examining and approving group members and issuing certificates;
(4) to approve other relevant matters;
Article 23 The executive chairman of the special committee exercises the following functions and powers:
(1) Responsible for the daily work of the special committee, and organize the implementation of the annual work plan;
(2) Nominate the vice-chairman, secretary-general, deputy secretary-general and principals of each office, and submit them to the executive council for decision;
(3) Decide on the employment of full-time staff of the office;
(4) Responsible for the financial work of the special committee;
(5) Handling other related affairs.
Chapter V Procedures for Amending the Articles of Association
Article 24 Amendments to the articles of association of the association must be approved by more than two-thirds of the directors of the executive congress and reported to the chairman for approval.
Chapter VI Termination Procedure and Property Disposal After Termination
Article 25 When the special committee needs to be dissolved or cancelled by itself, the standing council shall propose a termination motion.
Article 26 Before the termination of the special committee, the executive director shall be responsible for clearing up the creditor's rights and debts, and handling the aftermath.
Chapter VII Supplementary Provisions
Article 27 This Articles of Association was approved by the Council of Representatives on December 8, 2021, and will take effect on the date of approval.
Article 28 The right to interpret this constitution belongs to the standing council of the special committee.
